These Terms of Service (the “Terms”) govern your access toand use of the BidBud websites, browser extensions, applications, reports, APIs, and related services (collectively, the “Services”) offered by BidBud LLC (“BidBud,” “we,” “us,” or “our”). By creating an account, installing a BidBud extension, purchasing a report, or otherwise accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You represent and warrant that you havethe legal capacity to enter into these Terms.
· Account Security. You are responsible formaintaining the confidentiality of your credentials and for all activity thatoccurs under your account.
· Accurate Information. You agree to provideaccurate and complete information and to keep it updated.
· Account Suspension. We may suspend or terminateaccounts for suspected fraud, security risk, or violation of these Terms.
BidBud provides informational tools, analytics, and reports intended to assist users in evaluating auction listings and market dynamics. The Services do not provide legal, financial, tax, accounting, investment, or mechanical advice, and are not a substitute for independent due diligence. You are solely responsible for any decisions you make, including any bid you plac eor transaction you enter into.
· No Guarantees. We do not guarantee any outcome(including auction results, purchase price, profit, condition, authenticity, orfuture value).
· Third-Party Platforms. BidBud is not affiliated with, endorsed by, or sponsored by any auction platform unless expressly stated. Third-party terms and policies apply.
· Your Compliance. You are responsible forcomplying with all applicable laws and third-party terms (including any auctionplatform terms) when using the Services.
We may modify, suspend, or discontinue any part of the Services at any time, including features, content, pricing, and availability.We may also update these Terms. Unless otherwise required by law, updated Terms become effective when posted. Your continued use of the Services after the effective date constitutes acceptance.
Certain features require payment (e.g., subscriptions, per-report purchases, enterprise licenses). Prices, plan features, and billing intervals will be disclosed at checkout or in an order form.
· Auto-Renewal. If you purchase a subscription, it may renew automatically until you cancel, unless otherwise disclosed at purchase.
· Taxes and Fees. You are responsible for any applicable taxes, duties, or governmental charges.
· No Refunds. Except where required by law or expressly stated in writing by BidBud, payments are non-refundable and we do not provide credits for partially used billing periods.
· Chargebacks. We may suspend your account and pursue collection if you initiate a chargeback without first attempting to resolve the issue with us.
Subject to your compliance with these Terms, BidBud grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use (as applicable to your plan). All rights not expressly granted are reserved by BidBud.
· Do not copy, modify, translate, or create derivative works of the Services except as expressly permitted.
· Do not reverse engineer, decompile, or attempt to discover source code or underlying models except to the extent prohibited by law.
· Do not interfere with or disrupt the Services, including by introducing malware, probing, scanning, or testing vulnerabilities.
· Do not circumvent access controls, rate limits, or security features.
· Do not use the Services to violate third-partyrights, including intellectual property rights, privacy rights, or contractual restrictions.
· Do not use the Services to build or improve a competing product, including using outputs to train competing models, except where prohibited by law.
If you install a BidBud browser extension, you authorize it to interact with webpages you visit as needed to provide the Services (for example, to display overlays, summarize listing data, and enable in-page insights). You acknowledge that third-party sites may change functionality or restrict overlays at any time, and BidBud is not responsible for third-party site changes or enforcement actions.
“User Content” means any content you submit to the Services, including listing URLs, notes, prompts, messages, images, and other materials. You retain ownership of your User Content as between you and BidBud, subject to the license below.
You grant BidBud and its affiliates a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to host, store,r eproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise use User Content to (a) provide, operate, maintain, and improve the Services; (b) develop, train, tune, and improve analytics and machine learning models; (c) create aggregated or de-identified insights and benchmarks; and (d) enforce these Terms and comply with law, ineach case to the fullest extent permitted by applicable law.
If you provide feedback, suggestions, or ideas (“Feedback”),you grant BidBud a perpetual, irrevocable, royalty-free, worldwide right to useand commercialize the Feedback without compensation or attribution, without restriction.
The Services, including all software, designs, text, graphics, logos, interfaces, data compilations, and BidBud’s models and analytics, are owned by BidBud or its licensors and are protected by intellectual property laws. Except for the limited license granted in Section 5, you acquire no rights in the Services.
The Services may reference or link to third-party services,websites, data sources, or content. BidBud does not control third parties and is not responsible for their content, availability, accuracy, or practices. Your use of third-party services is at your own risk and subject to the third party’s terms.
Our Privacy Policy describes how we collect, use, and disclose information. By using the Services, you consent to our processing of information as described in the Privacy Policy.
We may suspend or terminate your access to the Services at any time for any reason, including for violation of these Terms, suspected fraud, security concerns, or legal compliance. You may stop using the Services at any time and may cancel subscriptions as described at purchase. Sections that by their nature should survive termination will survive, including licenses, disclaimers, limitation of liability, indemnification, and dispute resolution.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, BIDBUD DISCLAIMS ALLWARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING ORUSAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BIDBUD OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, BIDBUD’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BIDBUD FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50
You agree to defend, indemnify, and hold harmless BidBud and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of third-party rights or third-party terms (including any auction platform terms).
If you believe content on the Services infringes yourcopyright, you may send a notice to our designated agent in accordance with the Digital Millennium Copyright Act (“DMCA”). The notice should include required information such as identification of the copyrighted work, the infringing material, your contact information, and a statement under penalty of perjury.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or BidBud’s processing of information (each, a “Dispute”) will be resolved by binding, individual arbitration and not in court.
Before starting arbitration, you agree to send BidBud a Notice of Dispute describing the nature of the Dispute and the relief sought.Notices must be sent to: BidBud LLC – Attn: Legal, 2804 Center Court Dr., Weston, FL 33332, with a copy by email to Benjamin@BidBud.com. The parties will attempt in good faith to resolve the Dispute informally for at least 30 days.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules or another reputable administrator selected by BidBud if AAA is unavailable. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
You and BidBud agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member inany purported class, collective, representative, or private attorney general proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative proceeding.
· Small Claims. Either party may bring an individual action in small claims court if the claim qualifies and remains in that court.
· Injunctive Relief. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized access, abuse, interference, or misuse of the Services, or to protect intellectual property rights.
The arbitration will take place in the county where you reside, unless the parties agree otherwise, or may be conducted remotely. Payment of filing, administration, and arbitrator fees will be governed by AAA rules and any applicable fee schedules. To the fullest extent permitted by law, BidBud may seek reimbursement of fees and costs from a party that files a frivolous claim.
To the fullest extent permitted by law, if 25 or more similar Disputes are asserted against BidBud by the same or coordinated counselor are otherwise coordinated (“Mass Arbitration”), the parties agree to use efficient batching and bellwether procedures, including staged filings, selection of test cases, and stays of remaining claims while bellwether proceedings are pending.
To the fullest extent permitted by law, any Dispute must befiled within one (1) year after the Dispute arises, or it is permanently barred.
You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms (or first using the Services,whichever is earlier). The opt-out notice must include your name, email address, and a clear statement that you wish to opt out, and must be mailed to: BidBud LLC – Attn: Arbitration Opt-Out, 2804 Center Court Dr., Weston, FL 33332. If you opt out, you and BidBud are not bound by arbitration for Disputes, but all other Terms remain in effect.
To the extent any Dispute is not subject to arbitration (or is in small claims court), these Terms are governed by the laws of Florida, without regard to conflict-of-law principles, and the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Broward County, Florida, except where prohibited by law.
· Assignment. You may not assign these Terms without BidBud’s prior written consent. BidBud may assign these Terms in connection with a merger, acquisition, or sale of assets.
· Severability. If any provision is found unenforceable, the remaining provisions will remain in effect.
· No Waiver. BidBud’s failure to enforce aprovision is not a waiver of its right to do so later.
· Force Majeure. BidBud is not liable for delays or failures due to events beyond its reasonable control.
· Entire Agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and BidBud regarding the Services.
